Marketplace Seller Terms
These Seller Terms govern listing and selling content on PLCRungs, the marketplace for industrial automation code operated by Zuyzo LLC ("Zuyzo," "we"). By creating a listing you agree to these Seller Terms in addition to the Terms of Service.
01What you can list
Eligible content includes ladder logic, routines, AOIs/function blocks, UDTs, templates, faceplates, documentation, and skill packs ("Listings"). All Listings must be functional, accurately described, free of malware or hidden behavior, and compatible with the platforms they claim.
02You must own what you sell
This is the rule that matters most. By listing content you represent and warrant that you own it or hold all rights needed to sell it — and specifically that it is not the property of a current or former employer or client, does not incorporate a third party's proprietary code, and does not violate any confidentiality, work-for-hire, or assignment obligation you are under. Code you wrote on someone else's payroll usually belongs to them.
We may require proof of rights, and we remove Listings subject to a compliant notice under our Copyright & DMCA Policy. Repeat infringers are terminated.
03License to buyers; license to Zuyzo
You keep ownership of your Listings. When a buyer purchases a Listing, you grant the buyer a non-exclusive, perpetual, non-transferable license to use, modify, and deploy the content in their own projects, without the right to resell or redistribute it as a competing listing (unless your Listing specifies a different license). You grant Zuyzo a license to host, display, index, excerpt, and promote your Listings to operate the marketplace, including generating previews and semantic indexes.
04Pricing, payouts, and taxes
- Revenue share: Zuyzo retains a platform fee of [XX]% of each sale; the remainder is paid to you. Current fees are posted on the seller dashboard and may change with 30 days' notice (applying to future sales only).
- Payouts are made via our payment processor on a [monthly] schedule, subject to a minimum balance and completion of identity/tax onboarding (e.g., W-9/W-8).
- Taxes: you are responsible for your own income taxes. Where marketplace-facilitator rules apply, Zuyzo collects and remits applicable sales tax/VAT on transactions.
- Refunds and chargebacks on your sales may be deducted from your balance under the marketplace refund policy.
05No warranty flows from Zuyzo
LISTINGS ARE SOLD BY SELLERS, NOT BY ZUYZO. ZUYZO DOES NOT REVIEW, TEST, CERTIFY, OR WARRANT ANY LISTING. ALL LISTINGS AND THEIR USE ARE SUBJECT TO THE AI-OUTPUT AND ENGINEERING-VERIFICATION DISCLAIMERS IN SECTION 2 OF THE TERMS OF SERVICE: A QUALIFIED ENGINEER MUST INDEPENDENTLY REVIEW AND TEST ANY PURCHASED CODE BEFORE DEPLOYMENT, AND NOTHING SOLD ON PLCRUNGS IS FOR USE IN SAFETY-INSTRUMENTED OR LIFE-SAFETY APPLICATIONS.
As a seller, you are solely responsible for your Listings and any support you choose to offer, and you will indemnify Zuyzo against claims arising from your Listings, including IP claims and claims arising from deployment of your code.
06Conduct and quality
We may remove Listings, withhold payouts pending investigation, or suspend seller accounts for: misrepresented or non-functional content, IP violations, manipulation of reviews or rankings, malware or obfuscated payloads, or circumventing the marketplace to divert platform-originated buyers off-platform.
07Termination
You may stop selling at any time; existing buyer licenses survive. We may terminate these Seller Terms as described above or with 30 days' notice for convenience, paying out any undisputed balance. Sections 2–3 and 5 survive.
