Terms of Service

The core agreement covering your responsibilities, our disclaimers, and the rule that a qualified engineer must verify all AI output before deployment.

These Terms of Service ("Terms") are an agreement between you and Zuyzo LLC ("Zuyzo," "we," "us"), and govern your access to and use of the PLCcode application, the Fableloom models, the PLCRungs marketplace, and related websites, software, and services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to bind it, and "you" includes that organization.

01The Services and eligibility

The Services help engineers and technical teams generate, edit, and manage industrial control code and related content. You must be at least 18 and able to form a binding contract to use the Services. You are responsible for all activity under your account and for keeping your credentials secure. Certain features — including beta features, the PLCRungs marketplace, and on-premise deployments — are also governed by the additional agreements linked from the Agreements index, which are incorporated into these Terms where they apply to you.

02AI output — verification required

PLCcode and the Fableloom models assist a qualified professional; they do not replace one. You are solely responsible for the validation, commissioning, and safe operation of any system that incorporates output from the Services, and for compliance with all applicable codes, standards, and regulations.

03Your content

You retain all rights to the code, files, prompts, configurations, and other materials you submit to the Services ("Customer Content"). Your code stays yours. We do not claim ownership of Customer Content, we do not sell it, and we do not use it to train shared or foundation models made available to other customers. We process Customer Content only to provide, maintain, and secure the Services, as described in our Privacy Policy and, where applicable, the Data Processing Addendum. You are responsible for having the rights to submit Customer Content and for ensuring it does not violate law or third-party rights.

04Acceptable use

You will not, and will not permit anyone to:

• use the Services in violation of any law, export-control, or sanctions regime;
• reverse engineer, decompile, or attempt to extract or derive the Fableloom model weights, or use the Services or their output to train or improve a competing model;
• resell, sublicense, or provide the Services to third parties except as expressly permitted;
• interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to them or their related systems;
• upload malware, infringe intellectual-property rights, or submit content you lack the rights to submit.

05Plans, fees, and payment

Paid Services are billed according to the plan or order you select. Unless stated otherwise, fees are charged in advance, are non-refundable except as required by law or expressly provided, and exclude taxes, which are your responsibility. We may change pricing prospectively on notice; changes take effect at your next renewal.

06Intellectual property

The Services, including the PLCcode software, the Fableloom models, and all related materials, are owned by Zuyzo and its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted here, no rights are transferred to you. Feedback you provide may be used by Zuyzo for any purpose without obligation to you.

07Third-party and beta services

The Services may interoperate with third-party products that are governed by their own terms; we are not responsible for them. Pre-release and evaluation features are provided under the Beta & Early Access Agreement, and marketplace activity under the Marketplace Seller Terms.

08Term and termination

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for material breach, for risk to the Services or other users, or as required by law; where practicable we will give notice and an opportunity to cure. Provisions that by their nature should survive — including Sections 03, 06, and 09–12 — survive termination.

09Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND ZUYZO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUT.

10Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR PRODUCTION TIME; AND ZUYZO'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

11Indemnification

You will defend and indemnify Zuyzo against third-party claims arising from your Customer Content, your use or deployment of output generated by the Services, or your breach of these Terms, except to the extent caused by Zuyzo.

12Governing law

Pennsylvania law governs these Terms, without regard to conflict-of-laws rules; exclusive venue is the state or federal courts in Northampton County / the Eastern District of Pennsylvania. If any provision is unenforceable, the rest remains in effect.

13Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
